These Product-Specific Terms supplement and form part of the Agreement between Service Provider and Customer. They apply only to the extent Customer has ordered, subscribed to, or otherwise been granted access to the specific product(s) or feature(s) identified in the applicable section below, as reflected in the relevant Order Form. Capitalized terms not otherwise defined in these Product-Specific Terms have the meanings given to them in the Agreement.

In the event of a conflict between these Product-Specific Terms and the body of the Agreement, these Product-Specific Terms control solely with respect to the specific product(s) they address; the general terms of the Agreement continue to govern all other aspects of the relationship. Nothing in these Product-Specific Terms expands the scope of Services purchased by Customer beyond what is reflected in the applicable Order Form.

  1. Completes

“Respondent Complete” means a single respondent’s completed participation in a research activity conducted through the Platform, whether via a Live Interview, an AI Interview, or a qualifying asynchronous (non-AI) activity. Respondent Completes are counted and deducted at the organization level across all of Customer’s projects, and are tracked at the participant level per activity or session. A single respondent may generate more than one Respondent Complete where that respondent participates in multiple qualifying activities. In a multi-respondent interview (including focus groups), each participating respondent constitutes one Respondent Complete.

A Respondent Complete is recorded as follows:

  1. Live Interviews: when a respondent joins as a panelist, participates for more than fifteen (15) minutes, and the interview reaches a completion stage.
  2. AI Interviews: when the AI interview activity is completed one hundred percent (100%) by the respondent within the Platform.
  3. Asynchronous (non-AI) self-paced activities: only where the activity is completed one hundred percent (100%) by the respondent and includes eleven (11) or more tasks. Asynchronous activities not meeting both criteria do not qualify as Respondent Completes and are not counted or deducted.

Respondent Completes may be made available to Customer in one of two ways:

(a) Included as part of a package. Where a subscription package includes a stated volume of Respondent Completes, that volume is available for use during the applicable Term as specified in the Order Form, and unused Completes do not roll over or carry independent value outside the package unless the Order Form states otherwise.

(b) Sold separately. Where Respondent Completes are purchased on a standalone basis (including overage beyond a package’s included volume), they are priced and invoiced as set out in the applicable Order Form or at Discuss’ then-current ad-hoc rate.

  1. Recruit Credits

“Recruit Credit” means a unit used to initiate and manage the recruitment of a respondent for participation in a market research interview. Recruit Credits do not include respondent incentives; incentives are quoted on a project-by-project basis and are either deducted from the applicable Services Subscription or invoiced separately, as agreed between the parties.

Recruit Credits may be made available to Customer in one of two ways:

(a) Included as part of a package. Where Recruit Credits are included as a component of a bundled subscription, the included volume, applicable consumption rate(s), and treatment upon exhaustion are governed by the applicable Order Form. Included Recruit Credits do not carry an independent per-unit price and may not be redeemed or transferred separately from that package unless the Order Form states otherwise.

(b) Sold separately. Where Recruit Credits are purchased on a standalone basis, they are priced and invoiced as a distinct line item under the applicable Order Form.

1. Quarterly Compliance Review

Discuss shall conduct quarterly reviews to ensure Customer’s compliance with the conditions outlined in the table above.

  • If non-compliance is identified, Discuss will provide:
    • A detailed report of the non-compliant project (s).
    • An itemized statement of recruitment charges at Discuss’ standard ad-hoc rates.
  • These charges will be communicated before any invoice is issued.

2. Recruitment Classification

  • Unless specified otherwise in a quote, Discuss reserves the right to determine the classification category for any recruit.
  • Profiles listed in Annex B are exempt from the general conditions of this model and will be governed by separate terms and separate fees as mutually agreed by the Parties in its due time.

3. Recruitment Timelines

  • Customers must adhere to the recruitment timelines provided by Discuss.
  • Expedited timelines may incur additional charges.

4. Feasibility and Criteria Adjustments

  • If Discuss assesses that the recruitment criteria may impact feasibility:
    • Discuss will promptly notify the Customer.
    • Both parties shall collaborate in good faith to adjust project parameters (e.g., criteria, timelines) to improve feasibility.

5. Fair Market Value (FMV) for HCPs

  • If a specific FMV rate for Healthcare Professionals is required:
    • Customer must communicate this before the project begins.
  • If not communicated in advance:
    • Discuss’ standard FMV rates will apply.
    • Later adjustments may incur additional fees or affect timelines

6. Additional Charges

  • Requests that deviate from the above conditions may result in standard ad-hoc rate charges.
  • Services beyond those listed will also be subject to additional fees.

7. Recruit credit Usage and Expiration

  • If Customer elects to use Discuss for recruitment services, Recruit Credits are required to initiate and run a project. In the event Customer does not have sufficient Recruit Credits available, commencement of the applicable project shall be delayed until the required Recruit Credits are purchased or otherwise made available.
  • Recruit Credits must be utilized within the contract term; any unused credits will expire at the end of the contract period and will not roll over or be refunded.

8.  Cancellation

  • If a session or project with scheduled respondents is canceled or postponed, one hundred percent (100%) of the fees associated with such services shall be invoiced and payable in accordance with the payment terms under this SOW.
  • The recruit credit deduction upon cancellation or rescheduling will match the original recruitment level (e.g., Level 1 = 1 credit, Level 2 = 3 credits, etc.).

9. Profiles Not Covered

The following profiles are excluded from the scope of the Subscription. However, Discuss, may, at its discretion and subject to feasibility, provide services for these profiles at additional ad-hoc rates.
